ExxonMobil board unanimously backs move from New Jersey to Texas
Global energy giant Exxon Mobil Corporation’s Board of Directors has unanimously recommended that shareholders approve moving the company’s legal domicile from New Jersey to Texas, a shift aimed at aligning the company’s legal home with its operational base.
“Over the past several years, Texas has made a noticeable effort to embrace the business community. In doing so, it has created a policy and regulatory environment that can allow the company to maximize shareholder value,” said Darren Woods, ExxonMobil chairman and chief executive officer. “Aligning our legal home with our operating home, in a state that understands our business and has a stake in the company’s success, is important.”
The Board’s recommendation highlights Texas’ modernized business statutes and the Texas Business Court, which resolves complex disputes efficiently using clear, statute-based standards that support sound corporate decision-making.
ExxonMobil emphasized that the move will not affect operations, management, strategy, assets, or employee locations. Shareholder rights will remain intact under Texas law, which the Board said is largely comparable to—or stronger than—New Jersey law. The company has no plans to adopt any Texas provisions that would reduce shareholder protections.
