Xylem to acquire Cornell Pump & Roper Pump in $1.46 billion deal

The acquisition adds engineered pumping technologies designed for difficult fluid-handling environments


Xylem is expanding its industrial footprint with a $1.46 billion acquisition of Cornell Pump and Roper Pump, targeting high-growth markets including construction, mining, agriculture, energy and municipal infrastructure.

It also strengthens our portfolio in ways that support long-term value creation.”
 
The acquisition adds engineered pumping technologies designed for difficult fluid-handling environments, including slurry transport, solids handling and demanding suction-lift applications.
 
Cornell Pump and Roper Pump also bring patented self-priming technologies and specialized expertise across construction and mining, food and beverage, agriculture, energy and municipal markets.
 
The businesses will become part of Xylem's Water Infrastructure segment, broadening the company's ability to serve customers as industrial modernization and infrastructure investment drive demand for more reliable and efficient pumping systems.
 
Xylem said the $1.46 billion purchase price represents approximately 11.6 times projected 2026 EBITDA, after accounting for $23 million in expected run-rate cost synergies and an estimated $170 million in tax benefits.
 
The acquired businesses are expected to generate more than $260 million in revenue in 2026, with EBITDA margins above 30%.
