Tessenderlo Group acquires 20% stake in FMC in $403 million deal

FMC Corporation has closed a $403 million minority investment from Belgian industrial group Tessenderlo Group, giving the investor a roughly 20% stake in the global agricultural sciences company.
Under the deal, announced June 30, 2026, Tessenderlo Group purchased 30,319,166 shares of FMC common stock at $13.30 per share. The transaction has cleared all required regulatory approvals and closing conditions.
The investment also gives Tessenderlo Group the right to nominate one independent director to FMC’s board. The group has nominated Luc Tack, its chief executive officer, for the seat.
Tessenderlo Group has agreed to customary standstill restrictions while it owns FMC shares and is subject to a three-year lock-up period.
The transaction marks a significant equity investment by Tessenderlo Group in FMC and gives it a substantial position in the company’s future governance.
BofA Securities and Goldman Sachs & Co. LLC advised FMC as financial advisors, while Davis Polk & Wardwell LLP served as its legal counsel.
