Aramco exits Malaysian mega-refinery as PETRONAS takes full control of PRefChem

PETRONAS said full ownership will strengthen operational alignment across its value chain and improve flexibility
Saudi energy giant Saudi Aramco is exiting its stake in the massive Pengerang refining and petrochemical venture in Malaysia, handing full control of the complex to PETRONAS in a major rejig of their downstream strategy.
The two companies announced that Aramco will transfer its equity stakes in Pengerang Refining Company Sdn. Bhd. and Pengerang Petrochemical Company Sdn. Bhd. — collectively known as PRefChem — to PETRONAS. The facilities are located within the Pengerang Integrated Complex in Johor, Malaysia.
Once the deal clears customary closing conditions, PRefChem will become a wholly owned and operated subsidiary of the PETRONAS Group, giving the Malaysian state energy company complete control over one of Southeast Asia’s largest integrated refining and petrochemical hubs.
PETRONAS said full ownership will strengthen operational alignment across its value chain and improve flexibility as it navigates volatile global energy markets. The company also aims to leverage its international supply network and integrated operating model to maintain reliability under changing market conditions.
For Aramco, the move marks another step in the strategic reshaping of its downstream business, freeing up capital and operational flexibility for investments more closely aligned with its long-term priorities.
The companies said the transaction was completed on mutually agreed terms reflecting the “evolving strategic priorities” of both parties.
Despite the ownership shift, the decades-long partnership between Aramco and PETRONAS is set to continue. Both sides said they will explore future commercial cooperation, including coordinated crude oil supply, technology exchange, and integrated product distribution.
Aramco and PETRONAS said they remain committed to “delivering operational excellence and sustained value for stakeholders and the communities they serve.”
