The transaction is expected to close in late Q4 2025
E3 Lithium Ltd., a leader in Canadian lithium development, has entered into an asset purchase and sale agreement with an arm’s length private company (Purchaser) for the sale of its non-core Estevan Lithium District assets in Saskatchewan (Estevan Assets).
The total cash consideration for the transaction is approximately US$4.296 million (C$6.0 million, based on current exchange rates). The proceeds will be used to enhance E3 Lithium’s balance sheet and support the ongoing development of its flagship Clearwater Project, located in Alberta’s Bashaw District.
While E3 Lithium recognizes the long-term development potential of the Estevan Lithium District, the Company is committed to focusing its resources on the commercial advancement of the Clearwater Project—Canada’s first fully integrated lithium production facility.

The transaction is expected to close in late Q4 2025, subject to customary closing conditions. These include, but are not limited to, satisfactory environmental, regulatory, and surface access due diligence, as well as the receipt of all required third-party consents.
