H.B. Fuller receives $1.2 billion bid for building adhesives business

The proposal marks the first formal offer Ancora has made for Building Adhesives Solutions

H.B. Fuller Company has received an unsolicited proposal from Ancora Holdings Group to acquire its Building Adhesives Solutions (BAS) business for between $1.1 billion and $1.2 billion in cash, putting the adhesives maker under pressure to weigh a potentially lucrative sale.
 
The proposal marks the first formal offer Ancora has made for BAS, despite the investment firm previously expressing verbal interest in the business. Ancora’s letter was delivered to H.B. Fuller on the same day the proposal was made public.
 
H.B. Fuller, the world’s largest pureplay adhesives company, said its management and board routinely review the company’s portfolio with an eye toward maximizing shareholder value.
 
The board will now assess Ancora’s proposal with the help of its financial and legal advisers, the company said.
 
The offer could set the stage for a significant strategic decision for H.B. Fuller as it considers whether selling BAS would unlock greater value for shareholders than retaining the business.
