Larsen & Toubro Limited has informed that the National Company Law Tribunal, Chennai Bench (NCLT Chennai) and National Company Law Tribunal, Mumbai Bench (NCLT Mumbai) have approved the said Scheme of Amalgamation. The appointed date for the amalgamation is April 1, 2024.

The Board of Directors of the company had granted approval on January 30, 2024 to the Scheme of Amalgamation of L&T Energy Hydrocarbon Engineering Limited (LTEHE) and L&T Offshore Private Limited (formerly known as L&T Sapura Offshore Private Limited) (LTOPL) with Larsen & Toubro Limited (L&T).

The certified copy of the NCLT Mumbai order for amalgamation of LTEHE and LTOPL with L&T has been filed with the Registrar of Companies on March 1, 2025, which is the effective date of the amalgamation as per the Scheme sanctioned by NCLT Mumbai and NCLT Chennai.

Accordingly, LTEHE and LTOPL have ceased to be subsidiaries of the company with effect from March 1, 2025.
