Eni spins off refining business into new industrial company

The new company will manage Eni’s traditional refining and logistics assets in Europe and the Middle East

Eni has transferred the business branch of its Refining Evolution & Transformation unit to a newly created company, Eni Industrial Evolution, effective January 1, 2026. This marks a major step in the group’s industrial reorganization.
 
The new company will manage Eni’s traditional refining and logistics assets in Europe and the Middle East while driving the group’s industrial transformation, with a strong focus on circular economy models and the development of new industrial supply chains.
 
The move is designed to streamline management, simplify operations and accelerate decision-making across the businesses involved. It also aligns with Eni’s broader strategy to deliver a fully decarbonized energy offering, both in its production processes and to end consumers, while capturing growth opportunities created by the energy transition.
 
From January 1, Eni Industrial Evolution will oversee the refineries at Sannazzaro de’ Burgondi in Pavia and Taranto, Eni’s stake in the Milazzo Refinery joint venture, and the Livorno refinery. Its perimeter also includes the Robassomero plant, the Research Center South in San Filippo del Mela, key logistics infrastructure such as depots and pipelines, and shareholdings in Ecofuel and Costiero Gas Livorno.
 
The reorganization is intended to strengthen downstream capabilities by leveraging workforce expertise and proprietary technologies, supporting a long-term industrial model based on environmental, social and economic sustainability. 
 
Refining operations and logistics activities will continue under contractual arrangements between Eni and Eni Industrial Evolution, with licenses and authorizations, including customs permits, transferred to the new company.
