European Commission clears acquisition of Fertiglobe by ADNOC

The transaction relates primarily to the production and distribution of nitrogen fertilisers

The European Commission has approved, under the EU Merger Regulation, the acquisition of sole control of Fertiglobe plc (Fertiglobe) by Abu Dhabi National Oil Company (ADNOC), both of the United Arab Emirates. Prior to the notified transaction, ADNOC held joint control in Fertiglobe.

The transaction relates primarily to the production and distribution of nitrogen fertilisers.

The Commission concluded that the notified transaction would not raise competition concerns, given the companies' limited market positions resulting from the proposed transaction and the limited impact on the market structure. The notified transaction was examined under the simplified merger review procedure.
