OMV and ADNOC unveil leadership for Borouge Group International polyolefins JV

Borouge Group is set to emerge from the combination of Borouge Plc and Borealis, followed by the acquisition of NOVA Chemicals

OMV and ADNOC have announced the executive leadership team and Supervisory Board of Borouge Group International AG, a global polyolefins powerhouse that combines scale, innovation, and market reach to transform the industry landscape.
 
Borouge Group is set to emerge from the combination of Borouge Plc and Borealis, followed by the acquisition of NOVA Chemicals.
 
The new executive team brings decades of leadership across chemicals, commodities, and refining, combining deep commercial and operational expertise from the group’s constituent businesses. They will assume their roles once the Borouge Group International AG transactions close, expected before the end of March 2026.
 
Sultan Ahmed Al Jaber, Managing Director and Group CEO of ADNOC and Executive Chairman of XRG, has been appointed Chairman of the Supervisory Board.
 
Commenting on the appointments, Al Jaber said: “Borouge Group International is set to become a leading global industry powerhouse that will drive the next wave of industrial growth and deliver long-term returns for our shareholders, aligned with the long-term strategic vision of ADNOC and OMV. 
 
"This world-class leadership team underscores our ambition, bringing strong expertise in advanced technologies and global market development, to deliver the essential materials the world needs. I look forward to working closely with them.”
 
Roger Kearns, currently President and CEO of NOVA Chemicals, will become Borouge Group International AG’s CEO. With over 40 years in the chemicals sector, Kearns has led joint ventures, scaled companies, and closed complex deals across Asia and the Middle East. At NOVA Chemicals, he oversaw major growth projects and expanded recycled polyethylene operations.
 
Kearns said: "Borouge Group International is designed for resilience - combining scale, innovation, operational strength and global reach to deliver consistent performance across cycles and sustainable value over the long term. 
 
"From day one, our priority will be continuity for customers, confidence for shareholders and disciplined execution as we build a leading global polyolefins champion. I look forward to working closely with the new leadership team and with employees across the organizations to build momentum from the outset.”
 
Stefan Doboczky, CEO of Borealis, will serve as Chief Commercial Officer. Doboczky has navigated Borealis through market and energy price challenges, strengthening competitiveness and innovation platforms.
 
Hasan Karam, COO of Borouge Plc since May 2023, will become Chief Operating Officer of the new group. With three decades in refinery and petrochemical operations, Karam has driven record production levels and leveraged AI and digitalization to optimize assets.
 
Daniel Turnheim, currently CFO of Borealis, will act as interim CFO until a permanent appointment expected by May 2026.
 
OMV and ADNOC also announced the shareholder-nominated Supervisory Board. OMV’s nominees include Alfred Stern, Reinhard Florey, Martijn van Koten, Edith Hlawati, and Georg Knill. ADNOC’s nominees include Sultan Ahmed Al Jaber (Chairman), Musabbeh Al Kaabi, Fatema Al Nuaimi, Rainer Seele, and Klaus Froehlich.
