AMF clears Camlin Fine Sciences’ mandatory takeover offer for Vinpai

As of today, Camlin Fine Sciences holds 83.82% of Vinpai’s share capital and 80.85% of its voting rights

The French financial markets regulator has given the green light for Camlin Fine Sciences Limited to proceed with its mandatory simplified cash tender offer for the remaining shares of Vinpai, marking a major step toward full control of the French company.
 
Camlin Fine Sciences Limited, a Mumbai-listed specialist in shelf life solutions and flavour and wellness ingredients, confirmed it had already secured a dominant position in Vinpai following a series of strategic moves over the past months.
 
On November 27, 2025, the company completed a major acquisition by way of contribution in kind, taking a 78.68% stake in Vinpai’s share capital and 84.89% of its voting rights at a price of EUR 3.60 per share from majority shareholders (the “Sellers”). 
 
It later strengthened its position through the conversion of convertible bonds, resulting in the issuance of 1,100,000 new ordinary shares.
 
As of today, Camlin Fine Sciences holds 83.82% of Vinpai’s share capital and 80.85% of its voting rights.
 
With regulatory clearance now granted by the board of the French Financial Markets Authority (AMF), Camlin will proceed with a simplified cash tender offer for the remaining Vinpai shares it does not already own. The offer price has been set at EUR 3.60 per share—matching the earlier block acquisition.
 
“The timetable and the terms and conditions of the OPAS are detailed in the offer document of CFSL (the “Offer Document”).”
 
In accordance with Article 231-28 of the AMF General Regulation, supporting disclosures detailing Camlin Fine Sciences’ legal, financial, and accounting characteristics (the “Other Information Document”) have been published alongside the Offer Document on the websites of the AMF, Camlin Fine Sciences, and Vinpai.
 
Advisory roles for the transaction include FONTAINE AVOCATS as legal counsel to Camlin Fine Sciences.
 
The clearance marks a decisive regulatory milestone, clearing the path for Camlin’s bid to consolidate ownership of Vinpai through the remaining public shares.
