Sasol is set to sell its Nitrates business to explosives and blasting solutions provider Enaex Africa in a deal aimed at sharpening the South African chemicals group’s portfolio and advancing its optimisation strategy.
The Sale Agreement covers Sasol’s primary ammonia conversion plants in Secunda and Sasolburg, which convert ammonia into feedstock for the fertiliser and explosives markets. Sasol will retain a 23% stake in the joint venture.
The transaction is expected to be value-accretive to Sasol’s South African portfolio and will allow the company to focus more closely on its strategic priorities.
Enaex Africa, part of the global Enaex Group, brings more than a century of mining and explosives expertise to the business. The deal also deepens a partnership between the two companies that began in 2020.
Sasol and Enaex Africa said they will work together to ensure a smooth transition for employees, customers, suppliers and other stakeholders, while maintaining business continuity.
The transaction is still subject to the required regulatory approvals and will only be implemented once those conditions have been met. The companies said they will provide further updates when the approvals are secured and the deal moves to implementation.
Commenting on the transaction, Simon Baloyi, President and Chief Executive Officer of Sasol said: "This transaction is an important step in delivering our portfolio optimisation strategy. We are confident that Enaex Africa is well positioned to support the future growth of the Nitrates business, given its industry expertise, market access and strategic focus. Throughout this process, our priority remains the wellbeing of our employees, maintaining business continuity and ensuring a responsible transition for all stakeholders. We look forward to the next stage of this successful partnership."
Francisco Baudrand, Chief Executive Officer of Enaex Africa, said “We are excited about this next chapter in our partnership with Sasol and the opportunities it creates for Enaex Africa. Bringing these capabilities into our business will strengthen our value chain, enhance security of supply and further improve how we serve our customers. We look forward to building on the strong foundation we have established and taking the partnership into its next phase."
