In a major shake-up for the global ornamental horticulture industry, Syngenta Group has announced it will divest its Flowers business into a strategic joint venture with Dümmen Orange, creating a powerful new force in ornamental breeding and plant propagation.
The deal — approved by both companies’ boards and now awaiting regulatory clearance — will unite two of the industry’s biggest players under a new entity that promises broader reach, deeper research capabilities, and a stronger global supply network.
Syngenta will retain a significant economic stake in the venture.

The merger signals a strategic pivot for Syngenta as it sharpens its focus on high-growth agricultural markets while still maintaining a foothold in the global flowers sector.
Under the agreement, the two companies will combine decades of breeding expertise, advanced R&D operations, and international commercial networks into a single business designed to compete more aggressively in the fast-evolving ornamental market.
The venture will merge Dümmen Orange’s dominance in cut flowers with Syngenta’s strong portfolio of seed varieties, annuals, perennials, and potted plants — creating one of the industry’s most comprehensive ornamental portfolios.
Executives say the combined operation will also streamline production, improve efficiency, and accelerate innovation for growers worldwide.
Financial heavyweights backed the transaction, with Rabobank serving as exclusive financial advisor to Syngenta, while UBS advised Dümmen Orange and its shareholders.
The name of the new company has not yet been revealed, but both firms say the joint venture is designed to drive long-term growth and sustainability across the ornamental horticulture sector while delivering value to employees, customers, shareholders, and growers around the world.
